La misura riduce l\u2019aliquota Ires dal <strong data-start=\"467\" data-end=\"481\">24% al 20%<\/strong> per le societ\u00e0 che dimostrano di sostenere <strong data-start=\"525\" data-end=\"553\">investimenti qualificati<\/strong> e di incrementare l\u2019<strong data-start=\"574\" data-end=\"597\">occupazione stabile<\/strong>.<\/p>\n<p data-start=\"602\" data-end=\"799\">Si tratta di un incentivo che si colloca all\u2019incrocio tra politica fiscale e politica industriale, con l\u2019obiettivo di premiare le imprese che reinvestono utili e rafforzano la base occupazionale.<\/p>\n<h3 data-start=\"801\" data-end=\"826\">Condizioni di accesso<\/h3>\n<p data-start=\"828\" data-end=\"907\">Per accedere all\u2019agevolazione occorre rispettare congiuntamente due pilastri:<\/p>\n<ol data-start=\"909\" data-end=\"1772\">\n<li data-start=\"909\" data-end=\"1271\">\n<p data-start=\"912\" data-end=\"943\"><strong data-start=\"912\" data-end=\"941\">Accantonamento utili 2024<\/strong><\/p>\n<ul data-start=\"947\" data-end=\"1271\">\n<li data-start=\"947\" data-end=\"1014\">\n<p data-start=\"949\" data-end=\"1014\">Almeno l\u201980% dell\u2019utile 2024 deve essere trattenuto in azienda.<\/p>\n<\/li>\n<li data-start=\"1018\" data-end=\"1181\">\n<p data-start=\"1020\" data-end=\"1181\">Non \u00e8 necessario creare una riserva specifica: valgono accantonamenti a riserva legale, straordinaria, rinvio a nuovo, copertura perdite o aumento di capitale.<\/p>\n<\/li>\n<li data-start=\"1185\" data-end=\"1271\">\n<p data-start=\"1187\" data-end=\"1271\">\u00c8 consentita la distribuzione fino al 20% dei profitti senza perdere il beneficio.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li data-start=\"1273\" data-end=\"1772\">\n<p data-start=\"1276\" data-end=\"1311\"><strong data-start=\"1276\" data-end=\"1309\">Incremento occupazionale 2025<\/strong><\/p>\n<ul data-start=\"1315\" data-end=\"1772\">\n<li data-start=\"1315\" data-end=\"1426\">\n<p data-start=\"1317\" data-end=\"1426\">Confronto tra numero di dipendenti a tempo pieno nell\u2019ultimo mese del 2025 e la media degli ultimi 36 mesi.<\/p>\n<\/li>\n<li data-start=\"1430\" data-end=\"1489\">\n<p data-start=\"1432\" data-end=\"1489\">Incremento minimo richiesto: +1% del personale stabile.<\/p>\n<\/li>\n<li data-start=\"1493\" data-end=\"1606\">\n<p data-start=\"1495\" data-end=\"1606\">Esclusi dal calcolo i lavoratori cessati per dimissioni volontarie, pensionamento, invalidit\u00e0 o giusta causa.<\/p>\n<\/li>\n<li data-start=\"1610\" data-end=\"1772\">\n<p data-start=\"1612\" data-end=\"1772\">Non possono accedere le imprese che hanno utilizzato la <strong data-start=\"1668\" data-end=\"1690\">cassa integrazione<\/strong> nel 2024-2025 (con l\u2019unica eccezione della Cigo per casi di calamit\u00e0 naturali).<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<h3 data-start=\"1774\" data-end=\"1800\">Investimenti rilevanti<\/h3>\n<p data-start=\"1802\" data-end=\"2019\">Sono considerati validi solo gli investimenti realizzati dal <strong data-start=\"1863\" data-end=\"1882\">1\u00b0 gennaio 2025<\/strong> fino al termine ordinario di presentazione della dichiarazione dei redditi 2025 (31 ottobre 2026 per i soggetti con esercizio solare).<\/p>\n<ul data-start=\"2021\" data-end=\"2331\">\n<li data-start=\"2021\" data-end=\"2107\">\n<p data-start=\"2023\" data-end=\"2107\"><strong data-start=\"2023\" data-end=\"2040\">Soglia minima<\/strong>: pari al 30% dell\u2019utile accantonato, anche se superiore all\u201980%.<\/p>\n<\/li>\n<li data-start=\"2108\" data-end=\"2153\">\n<p data-start=\"2110\" data-end=\"2153\"><strong data-start=\"2110\" data-end=\"2137\">Importo minimo assoluto<\/strong>: 20.000 euro.<\/p>\n<\/li>\n<li data-start=\"2154\" data-end=\"2331\">\n<p data-start=\"2156\" data-end=\"2331\">Sono ammessi in cumulo con i crediti d\u2019imposta <strong data-start=\"2203\" data-end=\"2228\">Transizione 4.0 e 5.0<\/strong>, ma lo sconto Ires si applica solo alla parte di costo effettivamente rimasta a carico dell\u2019impresa.<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"2333\" data-end=\"2383\">Gestione delle perdite e degli utili pregressi<\/h3>\n<ul data-start=\"2385\" data-end=\"2683\">\n<li data-start=\"2385\" data-end=\"2467\">\n<p data-start=\"2387\" data-end=\"2467\">\u00c8 possibile compensare il reddito agevolato con <strong data-start=\"2435\" data-end=\"2464\">perdite fiscali pregresse<\/strong>.<\/p>\n<\/li>\n<li data-start=\"2468\" data-end=\"2559\">\n<p data-start=\"2470\" data-end=\"2559\">La distribuzione di utili accantonati in anni precedenti non pregiudica l\u2019agevolazione.<\/p>\n<\/li>\n<li data-start=\"2560\" data-end=\"2683\">\n<p data-start=\"2562\" data-end=\"2683\">Decadenza: se la quota vincolata dell\u2019utile 2024 (80%) viene distribuita entro il secondo esercizio successivo al 2024.<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"2685\" data-end=\"2707\">Due esempi pratici<\/h3>\n<p data-start=\"2709\" data-end=\"2758\"><strong data-start=\"2709\" data-end=\"2756\">1. Impresa con utile 2024 di 1.000.000 euro<\/strong><\/p>\n<ul data-start=\"2759\" data-end=\"2972\">\n<li data-start=\"2759\" data-end=\"2829\">\n<p data-start=\"2761\" data-end=\"2829\">Distribuiti 100.000 ai soci, 900.000 accantonati in riserve varie.<\/p>\n<\/li>\n<li data-start=\"2830\" data-end=\"2890\">\n<p data-start=\"2832\" data-end=\"2890\">Investimenti minimi richiesti: 270.000 (30% di 900.000).<\/p>\n<\/li>\n<li data-start=\"2891\" data-end=\"2972\">\n<p data-start=\"2893\" data-end=\"2972\">Se rispettati gli obblighi occupazionali, l\u2019aliquota Ires 2025 scende al 20%.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"2974\" data-end=\"3028\"><strong data-start=\"2974\" data-end=\"3026\">2. Societ\u00e0 con perdita nel 2023 e utile nel 2024<\/strong><\/p>\n<ul data-start=\"3029\" data-end=\"3177\">\n<li data-start=\"3029\" data-end=\"3068\">\n<p data-start=\"3031\" data-end=\"3068\">Pu\u00f2 accedere comunque al beneficio.<\/p>\n<\/li>\n<li data-start=\"3069\" data-end=\"3177\">\n<p data-start=\"3071\" data-end=\"3177\">Parametri ridotti: investimento minimo calcolato su due requisiti (30% utile 2024 e soglia 20.000 euro).<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"3179\" data-end=\"3206\">Opportunit\u00e0 e criticit\u00e0<\/h3>\n<p data-start=\"3208\" data-end=\"3218\"><strong data-start=\"3208\" data-end=\"3216\">Pro:<\/strong><\/p>\n<ul data-start=\"3219\" data-end=\"3379\">\n<li data-start=\"3219\" data-end=\"3276\">\n<p data-start=\"3221\" data-end=\"3530\">Rigidit\u00e0 nel calcolo degli investimenti minimi.<\/p>\n<\/li>\n<li data-start=\"3531\" data-end=\"3611\">\n<p data-start=\"3533\" data-end=\"3611\">Preclusione per chi ha fatto uso della cassa integrazione (salvo eccezioni).<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"3613\" data-end=\"3641\">Implicazioni strategiche<\/h3>\n<p data-start=\"3643\" data-end=\"3782\">L\u2019Ires premiale \u00e8 un incentivo che obbliga le imprese a <strong data-start=\"3699\" data-end=\"3736\">ripensare la gestione degli utili<\/strong> e la <strong data-start=\"3742\" data-end=\"3779\">programmazione degli investimenti<\/strong>.<\/p>\n<ul data-start=\"3783\" data-end=\"4200\">\n<li data-start=\"3783\" data-end=\"3911\">\n<p data-start=\"3785\" data-end=\"3911\">Sul piano fiscale, conviene valutare la distribuzione di dividendi 2024 e il loro impatto sul requisito dell\u2019accantonamento.<\/p>\n<\/li>\n<li data-start=\"3912\" data-end=\"4056\">\n<p data-start=\"3914\" data-end=\"4056\">Sul piano strategico, l\u2019agevolazione spinge a investire in progetti di medio-lungo periodo connessi a transizione tecnologica ed energetica.<\/p>\n<\/li>\n<li data-start=\"4057\" data-end=\"4200\">\n<p data-start=\"4059\" data-end=\"4200\">Sul piano finanziario, le imprese devono calcolare attentamente il rapporto tra costi agevolabili, cumuli consentiti e beneficio effettivo.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"4202\" data-end=\"4463\"><strong data-start=\"4202\" data-end=\"4225\">Beneggi e Associati<\/strong>
